The Company’s corporate governance unit is the Finance Division, which is responsible for corporate governance-related matters. On May 12, 2020, the Board of Directors approved the Financial Officer, Phoebe Chang, as Company Secretary. Phoebe Chang has CPA certificate in Taiwan and US, and has been in a managerial position for at least three years in a public company in handling financial affairs, suits the criteria of serving as the Company Secretary.
The main responsibilities and implantation of Company Secretary
The Company has set out main responsibilities in the “Corporate Governance Principles”, the implementation status in the current year are as follows:
- To handle matters relating to the Board of Directors and Audit Committee in accordance with the Law: total of 6 Board meetings and 4 Audit Committee meetings were held in 2023.
- To handle matters relating to Shareholders Meeting in accordance with the Law: regular shareholders meeting will be held on May 27, 2024.
- To arrange relevant meetings necessary for the Independent Directors with the internal audit supervisor or CPA to understand the company's financial business.
- To publish material information in accordance with the law to ensure investors' trading information equality.
- To assist in arranging directors continuing education based on the developments of laws and regulations related to the company's business and corporate governance.
- To remind Directors electronically 30 days prior to the publication of the annual financial report, and 15 days prior to the publication of the quarterly financial report, that they are not allowed to trade their shares during the closed period.
- To purchase liability insurance for Directors and managers and reported the relevant information, including the amount insured, coverage, and insurance rates, to the Board of Directors on November 7th, 2023.
- To execute performance evaluation for Board of Directors, Board members, and all functional committees (including Audit Committee, Compensation Committee, Nominating Committee, and ESG Committee): results of the evaluation have been reported at Board of Directors meeting on Jan. 23, 2024.
- To continuously promote and strengthen corporate governance: ranked among the top 5% of TPEx listed companies and top 5% of the small and medium enterprises in Taiwan in the 10th Corporate Governance Evaluation.
